PROFESSIONAL EXPERIENCES
Dan Matthews is an experienced franchise and securities attorney with a foundation in franchise and securities regulation. He served as a Franchise and Securities Examining Attorney and Associate General Counsel with the Washington Department of Financial Institutions from 2011 to 2017. As an examiner, Dan reviewed and vetted over 500 franchise disclosure documents (FDDs) and scores of securities filings including S-1s, Reg D filings, REITs and BDCs, crowdfunding offerings, and bond offerings. He also participated, alongside the Washington Attorney General’s office, in investigations and enforcement actions relating to both franchise and securities offerings, as well as state-registered investment advisers. While serving as an examiner, Dan obtained the Chartered Financial Analyst (CFA) designation in 2015. In 2017, he entered private practice under his own law firm, Matthews Franchise Law, working with new and established franchisors, as well as franchisees seeking to purchase franchises. Dan is Of Counsel for Morton McGoldrick, PLLC since 2024.
